These Terms and Conditions ("Terms") are an agreement between you and Octopi ("we", "us") for your use of the Octopi application ("the App"), the optional Octopi Cloud service ("Octopi Cloud"), and this website ("the Site"). By downloading, installing, or using the App, Octopi Cloud, or the Site, you agree to these Terms. If you do not agree, do not use them.
1. Eligibility
You must be at least 16, or the age of majority where you live, and able to enter a binding contract, to use Octopi. If you use it for an organization, you confirm you are authorized to accept these Terms on its behalf.
2. Licence to use the App
We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the App on Mac computers you own or control, for personal or internal business purposes, in line with these Terms. The App is licensed, not sold.
3. Restrictions
You may not copy, resell, rent, lease, sublicense, or redistribute the App; reverse engineer, decompile, or disassemble it except where the law expressly permits; remove or alter any notices; or use it to build a competing product. You may not use the App in any way that breaks the law or these Terms.
4. Ownership
We and our licensors own the App, the Site, and all related intellectual property, including the name, logo, and design. These Terms transfer no ownership to you. Any feedback you send us may be used without restriction or obligation to you.
5. Your accounts, credentials, and keys
Octopi runs on your device using your own logins and API keys. You are responsible for obtaining them, keeping them secure, and for all activity and charges under them. We never receive your keys and cannot recover or reset them.
Connecting a Mac to Octopi Cloud stores an access token in that Mac's Keychain. Keep your Mac secure; you can disconnect a Mac at any time in Settings, and ask us to disconnect all of them. An account can have up to five Macs connected; connecting a sixth disconnects the one used least recently.
6. Third-party services and websites
Octopi helps you work with third-party websites and services that you choose. Your use of those services is governed by their terms and policies, not ours, and you are responsible for complying with them. Automating a site you sign in to, or accessing a service's data, may be restricted by that party, and you are responsible for making sure your use is permitted. We are not responsible for third-party services, their availability, or their content.
7. Acceptable use
You agree not to use Octopi to break any law; infringe anyone's intellectual property, privacy, or other rights; access systems or data you are not authorized to access; send spam or unsolicited messages; or collect or process personal data unlawfully. You are responsible for the accuracy and lawful use of the data you work with.
8. Fees
The App is free. Octopi Cloud is an optional paid service.
Plans and credits. Octopi Cloud is paid in credits. A subscription adds its monthly credits at each renewal; unused monthly credits do not carry over. Credit packs are one-time purchases whose credits do not expire while the service operates. Credits have no cash value, are not transferable, and can be used only for Octopi Cloud. Prices, credit amounts, and the typical credit cost of each job are shown in the app and on our pricing page; the price is shown again at checkout. Prices are set in US dollars and do not include tax; checkout may show the amount in your local currency.
Who sells the payment, and tax. Octopi Cloud payments are made through Stripe Managed Payments: Link (Stripe) is the merchant of record for each payment, shown to you as "Sold through Link"; Link's standard payment terms are shown at the foot of the checkout page. We provide Octopi Cloud itself, and these Terms govern it. Stripe calculates, collects and remits the sales tax, VAT or GST due; it is added to the price at checkout, before you pay. Your card statement shows the charge as LINK.COM* OCTOPI.
Before each request, the most it could cost is set aside from your balance; the request is then charged according to the tokens the model actually used, and the rest is released at once. A request is never charged more than the amount set aside for it beforehand. If the model's answer is cut off, if you stop the request (or your connection drops) after the answer has started, if our service interrupts it after the answer has started (for example when it restarts), or if the answer arrives without a token count, the request is charged for what the model generated — including its internal reasoning, which is billed although it is not shown — counted from the model's own final token count when it arrives within about ten seconds, otherwise estimated from the size of the request, the answer received and how long the model was reasoning, at a typical reasoning speed for that model. An answer that is cut off is not used: the App does that job with its local model instead, and the charge for what was generated still applies. A request that is stopped, interrupted or fails before the answer starts — including one Anthropic's service refuses or cannot answer — is not charged.
Limits. To protect your balance and the service, a day's spending may be limited (shown in the app), newly bought pack credits may unlock gradually over up to 24 hours, and we may limit the rate of requests and how many run at once. Because a request stopped before its answer starts may still cost us, it counts toward the day's limit (it is never charged), and an account that stops several such requests within an hour, or many in a day, may be paused for up to an hour, or until midnight UTC; the App then continues with its local model. A request that is charged (one stopped or interrupted after its answer started included) never counts toward these limits.
Subscriptions renew automatically each month until cancelled. You can cancel at any time in the app (Settings ▸ Octopi Cloud ▸ Manage subscription, which opens Stripe's billing page) or at link.com, where you can also view your orders and update your payment method; cancellation takes effect at the end of the current period, and that period's credits remain usable until then. A plan bought while your current plan is past due or set to end replaces it, and the old plan's remaining monthly credits end with it. Refunds, chargebacks and what happens to credits when a plan ends: section 8B.
Changes to prices apply to future purchases and renewals; we will tell subscribers before a price change affects their renewal.
Your own keys. If you use your own API keys instead, the provider bills you directly under its terms.
8A. Octopi Cloud service
Octopi Cloud is provided on a best-effort basis and may be unavailable at times — for example when our service-wide monthly limit is reached; when it is, the App continues with its local model. We may change the models offered. Our server accepts only the kinds of request the App makes — streamed text requests for planning, reading and the chat's route choice, without tools; anything else is refused before it is sent to Anthropic and is not charged. Results from Claude, like all results, may be wrong — section 10 applies. You must not use Octopi Cloud to send content you are not permitted to send to a third-party processor, and you agree to Anthropic's Usage Policy. We may suspend an account for abuse, non-payment, or a chargeback. If we discontinue Octopi Cloud, we will give reasonable notice and refund unused purchased (top-up) credits at the price paid.
8B. Refunds, chargebacks, and when credits end
Asking for a refund. Within 14 days of a purchase — a credit pack, or a month of your plan — you can ask us to refund the credits of that purchase you have not used, by writing to admin@useoctopi.com from the email address you bought with. We refund them at the price you paid, tax included, and those credits are then removed from your balance. A refund goes back to the payment method you used, and Link emails you the refund notice, as it does your receipts. Nothing in these Terms limits refund rights you have under mandatory consumer law.
Refunds through Link. Questions about a payment or your subscription can also go to Link support. As the merchant of record, Link (Stripe) may itself refund a payment within 60 days of it in certain cases, or when we have not answered its request within 48 hours. A refund includes the tax paid.
Refunds we make automatically. If you buy a second plan while your current plan is active and not set to end, we cancel the new plan and refund its payment in full. If a payment is collected for a plan that had already ended, we refund it in full.
What a refund or chargeback takes back. When a payment is refunded, in full or in part — by us or by Link — or reversed by a chargeback, the credits it bought are taken back in the same proportion as the money:
- A credit pack: its credits come off your pack balance. If you already spent them, your balance goes below zero, and Octopi Cloud requests are refused until it is above zero again (for example after a renewal or a new pack).
- The current month's plan payment: that share of this month's credits is taken back. If you already spent them, the difference is a debt: it is counted against your pack credits and carried into your next renewal, and requests are refused while your balance is below zero.
- A past month's plan payment, or a payment for a plan that has since ended: what that payment bought is taken from your current balance — this month's plan credits first, then your pack credits — but never below zero. What cannot be taken is not taken from later purchases.
Disputes and chargebacks are handled by Stripe. For your credits, a chargeback counts like a refund of the disputed amount, and so does a dispute that starts as an inquiry, before any money is withdrawn. If Stripe wins the dispute, or an inquiry closes without a chargeback, we restore exactly the credits it took.
When a plan is cancelled or ends. Until the plan ends, its period's credits stay usable. When it ends, its remaining monthly credits end with it; pack credits stay, and so does any debt from a refund or chargeback. Cancelling does not refund any part of the current period.
Do credits expire? Monthly plan credits last for the period they were given for: each renewal replaces what is left with the new month's credits, and they end when the plan ends. Pack credits do not expire while Octopi Cloud operates; if we discontinue it, section 8A applies.
9. Privacy
Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.
10. Disclaimers
The App and Site are provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted or error-free, or that results, including data it gathers or writes, will be accurate or complete. You are responsible for reviewing and verifying results before relying on them.
11. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, profits, goodwill, or business, arising out of or relating to your use of Octopi, even if advised of the possibility. To the maximum extent permitted by law, our total liability for all claims relating to Octopi will not exceed the greater of the amount you paid us in the 12 months before the claim, or USD 100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
12. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of Octopi, the data you work with, or your breach of these Terms or of any third party's rights.
13. Term and termination
These Terms apply while you use Octopi. You may stop using it at any time. We may suspend or end your licence if you breach these Terms or where we reasonably need to. Sections that by their nature should survive termination, including ownership, disclaimers, limitation of liability, and indemnification, will survive.
14. Changes
We may update the App and these Terms. When we change the Terms, we will post the new version with a new effective date. Material changes take effect 30 days after posting, or as the law requires, and continuing to use Octopi after that means you accept them.
15. Governing law and disputes
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The courts located in San Francisco, California will have exclusive jurisdiction, unless mandatory local law gives you the right to bring proceedings elsewhere.
16. General
If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them to a successor. These Terms, together with the Privacy Policy, are the entire agreement between us about Octopi.
